ADVERTISER TERMS AND CONDITIONS

These Advertiser Terms and Conditions ("Terms") constitute a legally binding agreement between GG NETWORK, LLC, a company incorporated under the laws of the State of Florida, USA, with its registered office at 1920 E Hallandale Beach blvd, Office 601, Hallandale Beach, FL 33009 ("GG NETWORK", "We", "Us"), and the entity or individual registering as an advertiser ("Advertiser", "You") to use the GG NETWORK self-service advertising platform ("Platform").


1. DEFINITIONS

"Ad / Creative Material" - Banners, text, landing pages, tracking links, and any other content provided by the Advertiser to promote their services.

"Campaign" - A specific advertising order set up by the Advertiser on the Platform (GEO, targeting, budget, CPA/CPM rates).

"Publisher / Affiliate" - Third-party partners of GG NETWORK who display Ads to end-users.

"mVAS (Mobile Value-Added Services)" - Content or services marketed to subscribers via Direct Carrier Billing (DCB), PSMS, or similar billing mechanisms.

"Conversion" - A specific action (e.g., subscription, purchase, install) defined in the Campaign settings.

"Balance" - Pre-paid funds deposited by the Advertiser into their Platform account.


2. ACCOUNT REGISTRATION AND SECURITY

2.1. You must be at least 18 years old and have the full legal capacity to enter into this agreement.

2.2. GG NETWORK reserves the right to approve or reject any Advertiser account at its sole discretion.

2.3. You are responsible for maintaining the confidentiality of your login credentials. Any activity occurring under your account is your responsibility.


3. SERVICES AND LICENSE

3.1. GG NETWORK grants you access to the Platform to manage advertising campaigns and purchase traffic from our Publisher network.

3.2. You grant GG NETWORK and its Publishers a non-exclusive, worldwide, royalty-free license to use, reproduce, and display your Creative Materials solely for the purpose of delivering the Services.

3.3. While we strive to provide high-quality traffic, GG NETWORK does not guarantee specific results (e.g., specific number of conversions or sales) unless expressly agreed otherwise in a specific Insertion Order.


4. PAYMENT TERMS

4.1. The Platform operates on a 100% prepayment basis. You must deposit funds ("Balance") via the available payment methods (Wire, Credit Card, Capitalist, USDT, etc.) before launching any Campaign.

4.2. Campaign costs are calculated based on GG NETWORK’s tracking system (CPA, CPM, or CPC model).

4.3. GG NETWORK may establish a minimum deposit amount, which will be displayed on the payment page.

4.4. All fees are exclusive of applicable taxes (VAT, GST, etc.). You are responsible for paying all applicable taxes in your jurisdiction.


5. REFUND POLICY

5.1. Funds that have already been spent on traffic are non-refundable.

5.2. You may request a refund of the unspent Balance by contacting support. Refunds are subject to a processing fee and identity verification (KYC).

5.3. If your account is terminated due to a violation of these Terms (e.g., fraud, malware, prohibited content), your remaining Balance may be forfeited as liquidated damages.


6. MEASUREMENT AND DISPUTES

6.1. The number of impressions, clicks, and conversions shall be calculated based on GG NETWORK’s measurement system.

6.2. In the event of a discrepancy between your tracking system and ours:

  • If the discrepancy is less than 10%, GG NETWORK’s stats prevail.
  • If the discrepancy is more than 10%, you must notify us within three (3) days. The Parties agree to work together to resolve the issue. Failure to notify us within this timeframe renders our stats final and binding.


7. ADVERTISER OBLIGATIONS & RESTRICTIONS

7.1. Advertiser strictly represents and warrants that their Ads, Creative Materials, and Landing Pages DO NOT and WILL NOT contain, promote, or link to any of the following:

A. Illegal and Harmful Content:

  • Content that promotes, solicits, or facilitates any illegal activity according to the applicable laws, the user’s jurisdiction, or the location where the Ad is displayed.
  • Content that promotes terrorism, violence, racial, ethnic, political, or religious discrimination, or hate speech against any group or individual.
  • Child Sexual Abuse Material (CSAM), exploitation of minors, or any content depicting non-consensual sexual acts.
  • Unlicensed sale of firearms, explosives, ammunition, illegal drugs, or drug paraphernalia.

B. Deceptive and Misleading Practices:

  • Ads that use false alarmist messages (e.g., "Your device is infected!", "Virus Detected", "System Damaged") to coerce users into downloading software or subscribing to services.
  • Pages that mimic legitimate brands, banks, government agencies, or well-known service providers to steal user data or credentials.
  • Fake cash winnings or other rewards claims where the prize does not exist or requires a hidden subscription to claim.
  • The use of any technology or method to show different content to GG NETWORK’s compliance team/bots than what is shown to the actual user.

C. Malicious Technical Behavior:

  • "Drive-by downloads" or automatically initiating a file download (APK, EXE, etc.) without a distinct user action.
  • Scripts that prevent the user from closing the browser window or navigating away (Ransomware/Browser lockers).
  • Malicious mining scripts that use the visitor's CPU without consent.

D. Intellectual Property Violations:

  • Distribution of copyrighted content (movies, music, software) without a license.
  • Sale or promotion of fake or replica designer goods.
  • Using Operator, Carrier, or Regulator logos in a way that implies official endorsement where none exists.

E. Restricted Adult Content:

  • While Adult content (18+) may be permitted on specific inventory, it must be strictly categorized as "Adult." Content depicting rape, incest, bestiality, necrophilia, or "deepfake" pornography is strictly prohibited.


GG NETWORK reserves the right to determine, at its sole discretion, whether any Content violates these restrictions.

7.2. Given the nature of Mobile Value-Added Services, you warrant that:

  • Your landing pages clearly state the price, billing frequency, and terms of the service (no "hidden" subscriptions).
  • Your flows comply with all applicable Mobile Carrier rules (e.g., WASPA, MEF code of conduct) in the target GEO.
  • Adult mVAS offers are permitted only if explicitly tagged as "Adult" and targeted appropriately.

7.3.  You shall not use bots, scripts, or any artificial methods to inflate traffic or metrics.


8. RIGHT TO REJECT AND SUSPEND

8.1. GG NETWORK reserves the right to reject, pause, or remove any Campaign or Creative Material at any time, for any reason, including but not limited to complaints from Carriers, Operators, or Users.

8.2. We may suspend your account immediately if we detect suspicious activity, non-payment, or breach of Section 7.


9. INDEMNIFICATION

9.1. You agree to indemnify, defend, and hold harmless GG NETWORK, its officers, directors, employees, and Publishers from and against any and all claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or related to:

  • Your violation of these Terms or applicable laws.
  • Your Creative Materials or Landing Pages (e.g., copyright infringement, misleading advertising claims).
  • Any fines or penalties imposed by Mobile Carriers or Regulators resulting from your mVAS flows.


10. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

10.1. The Services are provided "as is" and "as available". GG NETWORK disclaims all warranties, express or implied.

10.2. IN NO EVENT SHALL GG NETWORK BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES (INCLUDING LOSS OF PROFIT). OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO GG NETWORK IN THE THREE (3) MONTHS PRECEDING THE CLAIM.


11. TERM AND TERMINATION

11.1. You may stop using the Platform at any time.

11.2. GG NETWORK may terminate this Agreement and close your account at any time with or without cause.

11.3. Upon termination, all active Campaigns will stop. Any undisputed unspent Balance will be refunded in accordance with these Terms.


12. GOVERNING LAW AND DISPUTE RESOLUTION

12.1. These Terms are governed by the laws of the State of Florida, USA.

12.2. Any dispute arising under these Terms shall be resolved exclusively by binding arbitration in Florida, USA.


13. MISCELLANEOUS

13.1. GG NETWORK may update these Terms at any time. Continued use of the Platform constitutes acceptance of the updated Terms.

13.2. You acknowledge that checking the acceptance box during registration has the same legal force as a handwritten signature.
